HCLTech on Monday announced that its software business division, HCLSoftware, will acquire Robotiq.ai, a Croatia-based provider of enterprise robotic process automation (RPA) software, in an all-cash deal valued at nine million euros, or about Rs 98 crore.
The Indian IT services major said in a stock-exchange filing that its step-down wholly owned subsidiary, HCL Technologies Austria GmbH, will acquire 100 percent of Robotiq.ai's outstanding equity. The transaction is expected to close by the end of November 2026.
Robotiq.ai, based in Zagreb and founded in August 2018, builds enterprise-grade RPA software that automates repetitive, manual processes across business applications. Its customers are concentrated in heavily regulated industries, mainly large banks, insurance groups and telecom providers.

Agentic AI moves from thinking to doing

The rationale behind the deal is HCLSoftware's agentic AI push. The company said enterprises are looking beyond AI experimentation toward production-scale automation that is secure, governed and reliable, and that RPA fills the gap where modern APIs do not exist.
"Robotiq.ai adds enterprise RPA capabilities that allow AI-driven workflows to automate tasks in applications where APIs are unavailable or insufficient, extending HCL UnO Agentic's orchestration capabilities from decision-making to execution," the filing said.
"Enterprises are looking beyond AI experimentation toward production-scale automation that is secure, governed and reliable.
Robotiq.ai strengthens HCL UnO Agentic by combining orchestration with enterprise-grade execution, helping customers confidently deploy and scale agentic AI across their operations," said Kalyan Kumar, president at HCLSoftware.

A small, profitable European tuck-in

The deal is a modest tuck-in by Indian IT services standards, but the target is a profitable one. Robotiq.ai reported revenue of 1.4 million euros for the year ended December 2025, up from 0.9 million euros in each of 2023 and 2024, with a profit of 0.2 million euros in 2025 and a net worth of 0.8 million euros.
"We built Robotiq.ai on a simple belief — automation should be useful, fast to deploy, and reliable in production. Joining HCLSoftware gives our technology the enterprise reach, scale, and platform," said Darko Jovisic, chief executive and co-founder of Robotiq.ai.
"Together with HCLSoftware, customers get automation that doesn't stop at the task — it becomes part of an orchestrated, governed process across the entire enterprise."

Consolidation in the automation stack

The acquisition reflects a broader consolidation in the automation market, where large IT services firms are buying smaller RPA and agentic-automation specialists to offer end-to-end execution alongside reasoning models.
For HCLSoftware, which has been building out its HCL UnO platform, the deal adds a European development footprint and a customer base in industries where automation deals tend to be sticky and long-term.
HCLTech, India's third-largest IT services company, has increasingly positioned its software arm as a product business distinct from services. The Robotiq.ai deal, though small in value, gives that unit an execution layer for the agentic AI era — turning AI agents from decision-makers into doers inside legacy enterprise software.
